1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Orange Tree ("Orange Tree", "we", "us", or "our"), governing your access to and use of our algorithmic trading analysis platform, market indicators, software interfaces, and related web services (collectively, the "Platform").

By registering an account, connecting external exchange credentials, or utilizing any portion of the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our related policies. If you do not accept these Terms in full, you must discontinue use of the Platform immediately.

2. Eligibility and Account Security

To access the Platform, you must be at least 18 years of age (or the age of legal majority in your jurisdiction) and possess full legal capacity to enter into binding agreements. Access is strictly prohibited to individuals located in or citizens of jurisdictions where trading digital assets or algorithmic trading software is restricted by applicable law or international sanctions.

You agree to provide true, accurate, and complete registration information and maintain its currency. You are exclusively responsible for safeguarding the credentials associated with your account, including two-factor authentication secrets and cryptographic API keys used to interface with external third-party brokerages or digital asset exchanges.

3. Nature of the Software and Platform Services

Orange Tree develops and supplies proprietary software algorithms, technical analytics, automated risk management parameters, and order routing toolkits. Orange Tree is a software technology provider and does not operate as an authorized investment bank, deposit-taking institution, custodial broker-dealer, or financial advisor regulated under the Financial Services and Markets Act 2000 (FSMA) or equivalent regimes.

All automated triggers, algorithmic signals, strategy templates, and mathematical models provided via the Platform are experimental analytics and informational software tools. Orange Tree does not hold, custody, or manage client funds. Execution occurs directly across your linked accounts on external exchanges through your configured API connections.

4. Prohibited Uses

When using the Platform, you agree not to engage in or facilitate any of the following activities:

• Reverse engineering, decompiling, or attempting to extract proprietary source code, algorithmic weights, or neural model parameters.
• Manipulating market conditions, coordinating spoofing, layering, wash trading, or abusive trading behaviors across connected exchange venues.
• Using automated scripts, scrapers, or spiders to extract proprietary data feeds without express written consent.
• Circumventing platform access limitations, rate limits, geoblocks, or account security mechanisms.
• Utilizing the platform for money laundering, terrorist financing, fraud, or violations of applicable financial crime laws.

5. Intellectual Property Rights

All intellectual property rights in the Platform, including design, source code, logos, domain names, mathematical models, user interfaces, documentation, and trade secrets, remain the exclusive property of Orange Tree or its licensors. You receive a limited, revocable, non-exclusive, non-transferable licence to access the software interface solely for your internal trading activity in compliance with these Terms.

6. Limitation of Liability and Warranties

The Platform and associated analytics are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted under applicable law, Orange Tree disclaims all warranties regarding operational uptime, algorithmic profitability, execution latency, and market data accuracy.

In no event shall Orange Tree, its directors, officers, employees, or contractors be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, trading capital, data, or exchange counterparty defaults, even if advised of the possibility of such losses. Our aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by you to Orange Tree during the twelve (12) months preceding the event giving rise to the claim.

7. Termination and Suspension

Orange Tree reserves the unilateral right to suspend, limit, or terminate your account and access to the Platform at any time, with or without notice, in the event of suspected material breach of these Terms, operational security incidents, suspicious activity reports, or regulatory requirements. You may terminate your account at any time by ceasing platform use and revoking API permissions from your external exchange accounts.

8. Governing Law and Dispute Resolution

These Terms, their subject matter, and their formation are governed by and construed in accordance with the laws of the United Kingdom, without regard to principles of conflict of laws. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to good-faith informal negotiations between the parties. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales or Scotland, as applicable.

9. Modifications to Terms

We may revise these Terms periodically to reflect software improvements, structural changes, or evolving regulatory frameworks. Material revisions will be posted directly to this page with an updated revision date. Continued utilization of our services following notice of changes constitutes full acceptance of the revised Terms.
